Z&H Tax Pros Software (the "Service") is operated by UNIVERSAL RECONSTRUCTION LLC ("we", "us", or "our"). By purchasing, accessing, or using the Service, you enter into a binding agreement with UNIVERSAL RECONSTRUCTION LLC.
By creating an account, purchasing a license, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
Z&H Tax Pros Software provides professional tax preparation software for Electronic Return Originators (EROs), including features such as unlimited return filings, audit protection, identity protection, mobile intake tools, and support during tax season. Availability of specific features may change from time to time.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.
You must not misuse the Service. In particular, you must not:
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription or license period.
UNIVERSAL RECONSTRUCTION LLC retains all right, title, and interest in and to the Service, including all software, documentation, branding, and related intellectual property. No rights are granted except as expressly set out in these Terms.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, and refund mechanics are governed by the Paddle Checkout Buyer Terms.

We work to keep the Service reliable but do not guarantee that it will be uninterrupted, timely, secure, or error-free. Scheduled maintenance, third-party outages, or events beyond our reasonable control may affect availability.
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Service is a tool to assist tax professionals; you remain responsible for the accuracy and compliance of any returns you prepare and file.
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.
You agree to indemnify and hold harmless UNIVERSAL RECONSTRUCTION LLC and its affiliates from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.
We may suspend or terminate your access to the Service if: (a) you materially breach these Terms, (b) your payment fails or is reversed, (c) we reasonably believe there is a security or fraud risk, or (d) you repeatedly or seriously violate our policies. On termination, your license to use the Service ends. You may export data through in-Service tools where available; after a reasonable period we may delete account data.
We may modify the Service or these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State in which UNIVERSAL RECONSTRUCTION LLC is registered, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in that jurisdiction, unless otherwise required by applicable law.
